• These Terms & Conditions ("Terms") govern your access to and use of the Kultury website, mobile application, marketplace, services, and related Platform features operated by Kultury Private Limited ("Kultury", "Company", "we", "us", or "our").
• Kultury operates an ecommerce marketplace that may facilitate transactions involving customers, Kultury, independent third-party sellers, vendors, brands, creators, influencers, logistics partners, payment service providers, and other business partners.
• Please read these Terms carefully before using the Platform or placing an order. These Terms should also be read together with our Privacy Policy, Shipping & Delivery Policy, Cancellation Policy, Return, Replacement & Refund Policy, and any other applicable policies published on the Platform.
• 1. Acceptance of Terms
• By accessing, browsing, registering on, or using the Kultury Platform ("Platform"), you acknowledge that you have read, understood, and agreed to these Terms & Conditions ("Terms"), our Privacy Policy, Return, Replacement & Refund Policy, Shipping & Delivery Policy, Cancellation Policy, and any other applicable policies published on the Platform.
• If you do not agree with these Terms, please discontinue use of the Platform and do not place orders through it.
• Where a particular service, promotion, campaign, seller arrangement, or creator activity is subject to additional terms, those additional terms may also apply to the relevant activity.
• 2. About Kultury
• Kultury Private Limited operates the Kultury ecommerce marketplace. The Platform may provide customers access to products offered by Kultury, independent third-party sellers, vendors, brands, creators, or other approved business partners.
• Certain products available on the Platform may be sold, supplied, invoiced, packaged, or fulfilled by independent third-party sellers. Where applicable, relevant seller information may be displayed with the product or order information.
• The identity and responsibilities of the seller may vary depending on the specific product, transaction, and fulfillment arrangement. Seller responsibilities may be governed separately by applicable Vendor/Seller Agreements and Platform policies.
• 3. Eligibility
• You must be legally competent and permitted to enter into a binding agreement under applicable Indian laws to use the Platform and place orders.
• By using the Platform, you represent that the information provided by you is accurate, complete, current, and not misleading.
• If you are using the Platform on behalf of a business, organization, or other entity, you represent that you have the authority to act on behalf of that entity.
• 4. User Registration & Accounts
• Certain Platform features may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account.
• You must provide accurate information while creating or maintaining your account and should update your information when necessary.
• You must immediately notify Kultury if you suspect unauthorized access, misuse, or compromise of your account.

• You agree to provide accurate and complete information, including your name, mobile number, email address, delivery address, and other details reasonably required for order processing, payment, delivery, verification, customer support, or other Platform services.
• You are responsible for ensuring that the information associated with your account remains accurate and up to date.
• Kultury may request additional information or verification where reasonably necessary for account security, fraud prevention, order processing, seller verification, payment processing, or legal compliance.
• 6. Products & Product Information
• Product descriptions, images, specifications, colours, sizes, prices, availability, warranties, guarantees, and other information displayed on the Platform are provided for customer information and may be supplied by Kultury, vendors, sellers, brands, or other authorized partners.
• We make reasonable efforts to keep product information accurate and current. However, minor variations may occur, including differences in colour, appearance, packaging, texture, dimensions, measurements, or other product characteristics.
• Customers are encouraged to review the product description, specifications, seller information, pricing, delivery information, return eligibility, warranty information, and other relevant details before placing an order.
• 7. Product Availability
• Products displayed on the Platform are subject to availability. A product being displayed, added to a Wishlist, or added to a shopping cart does not guarantee that it will remain available until the order is successfully confirmed.
• Product availability may change because of inventory levels, seller operations, demand, technical issues, or other operational reasons.
• If a product becomes unavailable after an order has been placed, the affected order or item may be cancelled and any eligible refund will be processed in accordance with the applicable payment and refund terms.
• 8. Orders & Order Acceptance
• Placing an order constitutes an offer by the customer to purchase the selected product or products subject to these Terms and the applicable product conditions.
• An order is considered accepted only after successful order confirmation by Kultury or the applicable seller, as relevant to the transaction.
• We reserve the right to refuse, cancel, limit, or modify an order due to product availability, pricing errors, payment issues, suspected fraud, incorrect information, seller-related issues, technical errors, or other legitimate reasons, subject to applicable law.
• If an order is cancelled after payment has been received, any eligible refund will be processed through the applicable payment or refund mechanism.
• 9. Order Cancellation
• Orders may be cancelled by the customer or by Kultury or the applicable seller, subject to the applicable Cancellation Policy.
• Certain orders may not be eligible for cancellation once processing, packing, dispatch, customization, manufacturing, or delivery has commenced.
• Customized, personalized, made-to-order, or specially prepared products may have additional cancellation restrictions as communicated on the relevant product page or under the applicable policy.
• 10. Pricing
• Product prices displayed on the Platform may change from time to time. The applicable product price, taxes, delivery charges, discounts, and other applicable charges will be displayed during checkout before the order is placed.
• Prices may differ between sellers, products, variants, promotional periods, or other applicable offers.
• Where applicable, the seller responsible for the transaction may be responsible for issuing the appropriate invoice and applying applicable taxes in accordance with law and the relevant seller arrangement.
• 11. Pricing Errors
• Despite our reasonable efforts, an incorrect price, discount, product description, availability status, or other information may occasionally appear on the Platform because of technical, typographical, system, or human error.
• If an order is placed at an incorrect price or under materially incorrect information due to such an error, Kultury or the applicable seller may cancel the affected order, subject to applicable law.
• Where payment has already been received for a cancelled order, any eligible amount will be refunded through the applicable payment method or another permitted method.
• 12. Payments
• Payments may be made through payment methods made available on the Platform, including applicable online payment methods and Cash on Delivery ("COD"), where available.
• Payment transactions may be processed through third-party payment gateways, banks, financial institutions, and other authorized payment service providers.
• Payment methods may vary depending on the product, seller, order value, customer location, transaction risk, and other applicable conditions.
• 13. Payment Authorization
• By initiating a payment, you authorize the applicable payment service provider and/or financial institution to process the transaction using the payment method selected by you.
• Payment service providers may independently process payment information in accordance with their applicable terms, privacy policies, security standards, and legal requirements.
• Kultury does not store complete payment card information except where permitted and handled in accordance with applicable laws, security requirements, and payment industry practices.
• 14. Cash on Delivery
• Cash on Delivery may be available only for selected products, sellers, customers, order values, PIN codes, and locations.
• COD availability and any applicable conditions will be displayed during checkout where the facility is available.
• Customers placing COD orders are responsible for accepting the shipment and making the applicable payment at the time of delivery in accordance with the payment method supported by the delivery partner.
• Repeated refusal, non-acceptance, fraudulent ordering, or misuse of COD may result in restrictions on COD availability or other appropriate action, subject to applicable law.
• 15. Shipping & Delivery
• Orders will generally be delivered to the address provided by the customer during checkout through the applicable seller, warehouse, courier, logistics provider, or delivery partner.
• Estimated delivery dates are indicative and may vary depending on product availability, seller location, processing time, customer location, logistics network, weather conditions, public holidays, operational issues, remote locations, government restrictions, or other circumstances beyond reasonable control.
• Where an order contains products from different sellers, the products may be shipped separately and may have different delivery timelines.

• 16. Delivery Attempts
• Customers are responsible for providing an accurate and complete delivery address and being reasonably available to receive the order.
• Multiple unsuccessful delivery attempts, incorrect or incomplete addresses, refusal to accept delivery, unreachable recipients, or failure to provide required information may result in additional delivery attempts, cancellation, or return of the shipment.
• Delivery may require OTP verification, signature, identification, photograph, or another confirmation method depending on the applicable delivery arrangement.
• 17. Returns, Replacements & Refunds
• Returns, replacements, exchanges, cancellations, and refunds are governed by the applicable Return, Replacement & Refund Policy displayed on the Platform.

• Sellers are responsible for complying with applicable requirements relating to product quality, packaging, labeling, pricing, taxation, warranties, applicable consumer obligations, and other legal or contractual requirements relevant to their products.
• Detailed seller obligations may be governed by a separate Vendor/Seller Agreement, commission and settlement terms, product standards, and other applicable Platform policies.
• 21. Vendor Product Information
• Vendors are responsible for ensuring that product descriptions, specifications, pricing, images, availability, warranties, guarantees, claims, and other information supplied by them are accurate, current, and not misleading.
• Vendors must not upload or offer products that are counterfeit, unauthorized, prohibited, unlawful, unsafe, or infringe the rights of another person or entity.
• Kultury may take appropriate action against product listings or seller accounts that violate applicable law, Platform policies, or contractual requirements, subject to applicable law.
• 22. Influencer / Creator Responsibilities
• Influencers, creators, affiliates, or other promotional partners must provide truthful, accurate, and non-misleading promotional content.
• Promotional content must comply with applicable advertising, disclosure, intellectual property, consumer protection, and other legal requirements.
• Where a creator or influencer has a paid, sponsored, affiliate, material, or other commercial relationship requiring disclosure, the applicable relationship must be clearly disclosed in accordance with applicable requirements.
• Influencer and creator activities may be governed by separate Influencer/Creator Terms, campaign-specific agreements, content guidelines, commission terms, and other applicable requirements.
• 23. Reviews, Ratings & User Content
• Customers may be permitted to submit reviews, ratings, photographs, comments, feedback, or other content to the Platform.
• Such content must be genuine, lawful, relevant, and non-misleading and must not violate another person's rights.
• Kultury may remove, restrict, moderate, or decline to publish content that violates these Terms, applicable law, or Platform policies.
• Users should not submit confidential, sensitive, fraudulent, defamatory, abusive, or unlawful information through public reviews or other publicly visible Platform areas.
• 24. Prohibited Activities
• You must not use the Platform for unlawful, fraudulent, abusive, deceptive, or prohibited activities.
• Provide false, inaccurate, misleading, or fraudulent information.
• Use another person's account or identity without authorization.
• Conduct fraudulent transactions or payment activities.
• Attempt to obtain unauthorized access to the Platform or its systems.
• Introduce malware, viruses, malicious code, or harmful software.
• Interfere with or disrupt the operation of the Platform.

• Except as expressly permitted by law or with prior written authorization, no part of the Platform may be copied, reproduced, modified, distributed, published, transmitted, sold, or commercially exploited.
• Product names, logos, trademarks, images, and other materials belonging to third-party sellers or brands remain subject to the rights of their respective owners.
• 26. Third-Party Services & Links
• The Platform may integrate or provide access to third-party services, including payment providers, logistics partners, social media services, analytics providers, communication services, and external websites.
• Third-party services operate independently and may have their own terms, privacy policies, security practices, and service conditions.
• Kultury is not responsible for the independent content, availability, policies, or practices of third-party services except to the extent required under applicable law.
• 27. Privacy & Personal Information
• Personal information collected through the Platform will be handled in accordance with our Privacy Policy and applicable data protection and privacy requirements.
• Information may be processed where reasonably necessary to create and manage accounts, process orders and payments, arrange delivery, provide customer support, prevent fraud, manage returns and refunds, support vendors and creators, comply with legal requirements, and operate the Platform.

• 28. Grievance Redressal

• Where appropriate, Kultury may restrict access to specific Platform features, including ordering, COD, promotional benefits, seller functionality, or creator functionality.
• Suspension or termination will not affect rights or obligations that accrued before such suspension or termination where they are intended to survive under applicable law or agreement.
• 30. Platform Availability
• We aim to keep the Platform available and functioning properly. However, temporary interruptions may occur because of maintenance, technical failures, internet connectivity issues, security incidents, third-party service interruptions, or circumstances beyond our reasonable control.
• Certain Platform features may be unavailable temporarily or may vary depending on device, location, seller, payment provider, logistics provider, or other technical and operational factors.
• 31. Force Majeure
• Kultury may not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, floods, fires, epidemics, strikes, government restrictions, civil disturbances, transportation disruptions, widespread technical failures, or other force majeure events.
• In such circumstances, reasonable efforts may be made to restore affected services or facilitate affected orders as soon as reasonably practicable.
• 32. Limitation of Liability
• To the extent permitted by applicable law, Kultury shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Platform.

• 33. Indemnification
• To the extent permitted by applicable law, you agree to indemnify and hold harmless Kultury, its directors, officers, employees, affiliates, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from your unlawful use of the Platform, violation of these Terms, or infringement of another person's rights.
• This provision will apply only to the extent permitted by applicable law and will not be interpreted as removing any statutory rights or remedies available to consumers.
• 34. Modifications to the Platform
• Kultury may add, modify, suspend, restrict, or discontinue any feature, product, service, category, functionality, or part of the Platform from time to time, subject to applicable law.
